Terms of Service

These Terms explain the rules for using Gistra. We kept them as simple as possible. If you have questions, email [email protected].

1) Who we are

Gistra is operated by DataParty LLC (“we”, “us”, “our”). These Terms apply to the Gistra website and app (the “Service”).

2) Acceptance of these Terms

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

3) Eligibility (no minors)

You must be at least 18 years old to use Gistra. If you are under 18, you may not use the Service.

4) Accounts

Some features require an account. You are responsible for all activity that happens under your account. Keep your login information secure.

We may offer an anonymous or “guest” experience. If you later connect that session to a full account, your saved content may move to that account.

5) What Gistra provides

Gistra helps you extract and save YouTube transcripts and use AI features (like chat and study tools) based on those transcripts.

We may change, add, or remove features at any time. We may also pause or stop the Service in whole or in part.

6) Your content

You own your content

As between you and us, you keep ownership of the content you provide to the Service (for example: YouTube links, transcripts you save, chat messages, notes, and AI outputs).

This does not mean you gain ownership of third-party content. Any videos, channel content, and transcripts are owned by their original rights holders.

Permission you give us (limited license)

You give us permission to host, store, process, and display your content only as needed to run the Service (for example: to save your library, generate AI outputs you request, and show your content back to you).

You are responsible

You are responsible for the content you submit and for making sure you have the rights to use it. Do not submit content that violates the law or anyone else’s rights.

7) YouTube and third-party services

When you paste a YouTube link, we may fetch transcripts and metadata from YouTube and related services. Your use of YouTube is also subject to YouTube’s terms and policies.

Third-party content ownership (no license granted)

Downloading or saving a transcript through Gistra does not give you any ownership rights or license to that video, transcript, or other content. All videos (including embedded videos) and transcript text remain the property of their original owners.

You are responsible for making sure you have the right to access, download, store, and use any content you request through Gistra.

No sublicensing of YouTube services or APIs

Gistra is not affiliated with or endorsed by YouTube. We do not sell, sublicense, or provide “YouTube API access” to you. We only provide a tool that helps you work with URLs you submit, and you must use the Service in a way that complies with YouTube’s rules and applicable law.

You agree not to use Gistra to violate YouTube’s rules, bypass access controls, or infringe copyright.

8) Acceptable use

You agree not to:

  • Use the Service for illegal activity.
  • Upload or generate content that infringes rights or is abusive, harassing, or harmful.
  • Try to break or bypass security, rate limits, or access controls.
  • Scrape the Service, run bots at scale, or interfere with normal operation.
  • Reverse engineer or attempt to extract source code or underlying models beyond what the law allows.

9) AI features (important)

AI can be wrong. Do not rely on AI outputs as professional, legal, medical, or financial advice. You are responsible for how you use AI outputs.

Do not submit sensitive personal information to the AI features. You should assume that anything you submit may be processed by third-party AI providers in order to generate a response.

10) Credits, plans, and billing

Some actions in Gistra use credits. Credits and plan details are explained in our Credit Usage Policies, which are part of these Terms.

If you purchase a subscription or pay-as-you-go credits, you agree to pay the listed price and any applicable taxes. Subscription credits are provided as monthly top-ups, even if you choose annual billing (annual billing is a way to lock in a lower price; it does not grant a full year of credits upfront). Payments are processed by our payment provider. We do not store your payment card details.

Refunds

All sales are final. Because credits can be consumed immediately by usage, we generally do not provide refunds.

11) Suspension and termination

You can stop using the Service at any time. We may suspend or terminate your access if we believe you violated these Terms or if your use creates risk or harm to the Service or others.

If your account is terminated, you may lose access to content stored in the Service.

12) Privacy

Our Privacy Policy explains how we handle data.

13) Disclaimers and limitation of liability

The Service is provided “as is” and “as available”. We do not promise the Service will be uninterrupted, secure, or error-free.

To the maximum extent permitted by law, DataParty LLC will not be liable for indirect, incidental, special, consequential, or punitive damages. If we are found liable, our total liability will not exceed the amount you paid to us in the 3 months before the event giving rise to the claim (or $100 if you have not paid anything).

14) Changes to these Terms

We may update these Terms from time to time. If we do, we’ll update the “Last updated” date at the top of this page. By continuing to use the Service after changes take effect, you agree to the updated Terms.

15) Governing law and disputes

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict of law rules.

Any dispute related to these Terms or the Service will be brought in the state or federal courts located in Oklahoma, and you consent to jurisdiction and venue there.
